What the new investment charter means for foreign buyers

Three changes that matter when you buy a company in Morocco, and one that does not.

The investment charter changes how incentives are granted to foreign investors. For a buyer, the question is no longer only what the target is worth, but which support the deal can unlock after closing and what conditions come with it.

1. Incentives follow jobs, not capital

Grants are now linked to the number of jobs created and to the region where they are created. A buyer who plans to expand the business should model the hiring plan early, because the commitments made in the incentive agreement become obligations the company must report on each year.

2. Faster approvals

A single regional desk now handles most approvals, with a target of 30 days. In practice the timetable depends on the quality of the first file, so we prepare the application in parallel with due diligence rather than after signing.

What has not changed

Foreign exchange rules still require planning before closing. Register the investment correctly from day one, so that dividends and sale proceeds can later be transferred abroad without delay.
